Liedekerke successfully assisted the National Institute for Health and Disability Insurance (INAMI/RIZIV) in the divestment of its two office buildings, totalling 30.500 m, and the acquisition of 50% of the Galilee building

Liedekerke successfully assisted the National Institute for Health and Disability Insurance (INAMI/RIZIV) in the divestment of its two office buildings located Avenue de Tervueren in 1150 Brussels, totalling 30.500 m², and the acquisition of 50% of the Galilee building, where INAMI/RIZIV will install its new headquarters. INAMI/RIZIV’s main office building was sold to Kolmont Holding NV.
 
INAMI/RIZIV’s co-ownership rights in a second office complex, the “Tervueren House”, were the object of an exchange between INAMI/RIZIV and Belfius Insurance SA, pursuant to which INAMI/RIZIV acquired 50% of the Galilee building (hereby using part of the proceeds of the sale of the main office building).
 
Simultaneously, Liedekerke successfully assisted the shareholders of Immo Sint-Michel SA in the sale and purchase of all shares in said company, having as its main asset the remaining co-ownership rights in the Tervueren House, to Belfius Insurance SA.
 
Our firm assisted INAMI/RIZIV and the shareholders of Immo Sint-Michel in all the aspects of the sale process (including the set-up a transparent procedure guaranteeing equality amongst the bidders), the preparation of the legal data room, the drafting of the process letters, the drafting of the sale agreements, the official decisions to be taken by INAMI, the assistance in the negotiations, etc.

Cushman & Wakefield assisted the INAMI with the commercial aspects of the sale.
 
The transactions were completed on respectively 5 and 31 March 2020.
